AGREEMENT TO TERMS

These Terms and Conditions (the “Agreement“ and/or “Terms“) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Nero Sphere LIMITED (“Company,” “we,” “us,” or “our“), concerning your access to and use of the website nero-concierge.com, as well as any other media form, media channel, mobile application, or services related, linked, or otherwise connected thereto (collectively, the “Services“). We are registered in Hong Kong with CRN 78653554 and have our registered office at ROOM 511, 5/F, MING SANG IND BLDG, 19–21 HING YIP STREET, Kwun Tong, Hong Kong.

By accessing our Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, please discontinue using the Services.

Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right to make changes or modifications to these Terms at any time. Updated versions will be effective as of the “Last updated” date. Continued use of our Services constitutes acceptance of such updates.

The Services are not intended for use in jurisdictions where such distribution or use would be unlawful or would subject us to registration requirements. Users accessing from other locations are solely responsible for compliance with local laws.

The Services are intended for users who are at least 18 years old. Persons under 18 are not permitted to use or register for the Services.

SERVICES

The Company provides lifestyle and concierge management services (“the Services”) upon your registration and payment of applicable fees, in accordance with these Terms.

REGISTRATION

To access the Services, you may be required to register by providing accurate personal details including your full name, mobile phone number, and email address. You are responsible for keeping this information accurate and up to date.

Access to the Services is subject to Company approval.
We may conduct an introductory call to clarify your preferences before confirming your subscription package.
Access is granted once fees are received. Occasionally, free promotional access may be offered.
You are responsible for maintaining confidentiality of your account and are liable for all activities under your access credentials.
Any unauthorized use must be reported to support@nero-concierge.com immediately.

We reserve the right to suspend or terminate access in case of suspicious activity, inaccurate information, or breach of these Terms.

FEES, PAYMENT TERMS AND RENEWALS

Access to the Services requires payment of applicable subscription fees (“Fees”).
Fees are non-refundable except where required by law or under a 14-day cancellation right from the day of granting access, subject to deductions for services already provided.
Fees are payable prior to each subscription period and renew automatically unless canceled in writing at least 30 days before renewal.
Payments are processed securely by third-party providers (e.g., Stripe, Checkout). Their terms and policies apply in addition to ours.

You warrant that you are authorized to use the payment method you provide.

SUPPLY OF SERVICES

The Company may act as an agent on your behalf to arrange goods or services from third-party suppliers (“Suppliers”). Contracts for goods/services are concluded between you and the Supplier.
We reserve the right to reject requests at our discretion.
Performance dates are indicative only and not guaranteed.
Payment for goods/services is due immediately upon acceptance of an order by the Supplier.

Restaurants & Clubs: You must comply with cancellation policies of individual venues; otherwise deposits may be forfeited. Admission decisions rest with the venue.

Tickets: Ticket purchases through partners may be above face value and are subject to suppliers’ terms. No refunds are available after purchase unless offered by the original ticket seller.

LIMITATION OF LIABILITY

We are not liable for profits lost, indirect damages, or third-party acts.
Our liability for direct damages is limited to the total annual subscription fee paid by you.
Any claims related to supplier performance must be directed to the supplier.
You agree to indemnify and hold us harmless against claims arising from your use of the Services or breach of these Terms.

TERMINATION

By the Company: We may terminate or suspend access immediately if:

required by law,
unauthorized/fraudulent use is suspected,
fees remain unpaid for more than 5 days,
material breach of these Terms occurs.

By you: You may terminate if:

we materially breach and fail to remedy within 15 days,
you do not accept material changes to the Terms,
services are delayed significantly for reasons beyond our control.

Upon termination, your right to use the Services ceases immediately.

NOTICES

We may communicate with you via the website or email. Notices are deemed received within 24 hours of posting or sending.

COMPLAINTS AND SUPPORT

For complaints or support, contact support@nero-concierge.com. We will respond within 48 business hours.

Our website uses cookies to improve user experience. Types include:

Essential cookies for secure login and navigation.
Analytics cookies (e.g., Google Analytics) to measure usage.
Marketing cookies for personalized ads.

You may disable cookies via your browser, though some features may not function properly.

GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of Hong Kong.

Any dispute arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
